Terms of Service

1. Parties and Scope

These Terms of Service ("Terms") govern the relationship between TNT agency s.r.o., a company incorporated under Czech law, with registered office at Na Spravedlnosti 1533, Zelené Předměstí, 530 02 Pardubice, Czech Republic ("Agency," "we," "us") and any legal entity or natural person ("Client" or "Candidate") who uses the Agency's services or accesses the website at tntgency.org ("Site").

TNT agency s.r.o. holds a licence for employment mediation pursuant to § 14(1)(a), (b) and (c) of Act No. 435/2004 Coll., on Employment (zákon č. 435/2004 Sb., o zaměstnanosti), as amended.

2. Services Provided

The Agency provides the following employment mediation services in accordance with Czech and applicable European Union law:

  • Direct placement (§ 14(1)(a)) — mediation of employment between employers and job seekers for permanent or fixed-term employment contracts.
  • Agency employment / temporary staffing (§ 14(1)(b)) — assigning employees to perform work for a user employer (agenturní zaměstnávání) in accordance with § 308–309 of Act No. 262/2006 Coll., the Labour Code.
  • Career counselling and outplacement (§ 14(1)(c)) — information and advisory services to job seekers.
  • Executive Search — confidential, direct-approach recruitment for senior management and C-level positions.
  • HR Consulting and Recruitment Process Outsourcing (RPO) — advisory and outsourcing services relating to HR strategy, employer branding, and recruitment process design.

Specific deliverables, timelines, and fees for each engagement are agreed in a separate Service Agreement or Statement of Work signed by both parties. In case of conflict between a signed Service Agreement and these Terms, the Service Agreement prevails.

3. Client Obligations

Clients engaging the Agency for recruitment services agree to:

  • Provide accurate, complete, and lawful job descriptions and requirements.
  • Promptly provide feedback on submitted candidate profiles (within timescales agreed in the Service Agreement).
  • Comply with all applicable employment law, anti-discrimination legislation, and data protection regulations when conducting interviews and making hiring decisions.
  • Not approach, employ, or engage any candidate introduced by the Agency without notifying the Agency and fulfilling applicable fee obligations, for a period of 12 months from the date of introduction.
  • Maintain the confidentiality of candidate information provided and use it solely for the purpose of evaluating candidates for the agreed vacancy.

4. Fees and Payment

4.1 Placement Fees

Fees for permanent placement services are calculated as a percentage of the placed candidate's agreed annual gross remuneration, as specified in the applicable Service Agreement. Unless otherwise agreed, fees are invoiced upon acceptance of a written job offer by the candidate.

4.2 Temporary Staffing Fees

For agency employment (agenturní zaměstnávání), fees are calculated on the basis of the hourly or monthly rate agreed in the Service Agreement, inclusive of payroll costs, social and health insurance contributions, and the Agency's margin.

4.3 Payment Terms

Invoices are payable within 14 days of the invoice date unless otherwise agreed in writing. Late payments accrue interest at the statutory rate under Czech law. The Agency reserves the right to suspend services for overdue accounts.

4.4 Expenses

Reasonable out-of-pocket expenses (e.g., travel for candidate assessment at Client request) are charged at cost with prior written approval from the Client.

5. Replacement Guarantee

For permanent placements, the Agency provides a 90-day free replacement guarantee subject to the following conditions:

  • The full placement fee has been paid in accordance with the payment terms.
  • The employment relationship ended due to resignation or termination by the employer within the 90-day guarantee period, and not due to redundancy, restructuring, or changes to the role initiated by the Client.
  • The Client notifies the Agency in writing within 7 days of the candidate's departure.
  • The Client re-engages the Agency to find a replacement under equivalent conditions.

The replacement guarantee does not apply to executive search assignments, temporary staffing, or RPO services unless explicitly stated in the Service Agreement.

6. Intellectual Property

All content on the Site — including text, design, graphics, logos, and source code — is the property of TNT agency s.r.o. or its licensors and is protected by applicable intellectual property law. You may not reproduce, distribute, or create derivative works without prior written consent.

Candidate CVs, shortlists, and assessments prepared by the Agency are proprietary work product. They may not be shared with third parties, used for purposes other than the agreed recruitment mandate, or retained beyond the period specified in the applicable data retention policy.

7. Confidentiality

Both parties agree to keep confidential any non-public information received from the other party in connection with the services, including but not limited to business plans, candidate identities, salary information, and commercial terms. This obligation survives the termination of any service engagement for a period of 3 years.

8. Data Protection

The Agency processes personal data in accordance with Regulation (EU) 2016/679 (GDPR) and Act No. 110/2019 Coll. (zákon č. 110/2019 Sb., o zpracování osobních údajů). Full details are set out in the Privacy Policy. Each party acts as an independent data controller for personal data it processes in connection with the services, unless a Data Processing Agreement is executed.

9. Limitation of Liability

To the fullest extent permitted by Czech law, the Agency's total liability for any claim arising out of or in connection with the services shall not exceed the total fees paid by the Client to the Agency in the three months immediately preceding the event giving rise to the claim.

The Agency shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of profits or business opportunity, regardless of the form of action.

The Agency does not guarantee the suitability, performance, or conduct of any candidate introduced. The Client is solely responsible for the final hiring decision and for verifying that any candidate meets legal requirements for the role (e.g., work permits, professional qualifications).

10. Anti-Bribery and Compliance

Both parties represent that they comply with all applicable anti-bribery, anti-corruption, and sanctions laws. Neither party will offer, pay, or receive any benefit intended to improperly influence any decision in connection with the services.

11. Term and Termination

These Terms apply for the duration of any active Service Agreement. Either party may terminate a Service Agreement for convenience with 30 days' written notice, unless otherwise specified. The Agency may terminate immediately for non-payment or material breach. Termination does not affect accrued fee obligations or the confidentiality obligations under Section 7.

12. Governing Law and Dispute Resolution

These Terms and any Service Agreements are governed by the law of the Czech Republic, in particular Act No. 89/2012 Coll. (Občanský zákoník — Civil Code). The parties agree to attempt to resolve any dispute by good-faith negotiation within 30 days. If unresolved, disputes shall be submitted to the exclusive jurisdiction of the competent courts in Pardubice, Czech Republic.

13. Website Use

The Site is provided for information purposes only. You agree not to use the Site for any unlawful purpose, to transmit malicious code, to attempt unauthorised access, or to engage in conduct that may harm the Site or other users.

14. Changes to These Terms

We may update these Terms from time to time. Changes take effect upon publication on the Site. Material changes affecting existing Service Agreements will be communicated in writing with at least 30 days' notice. Continued use of the Site constitutes acceptance of the updated Terms.
